Terms & Conditions

By accessing, downloading, installing, creating an account on, subscribing to, or using SIMI in any manner whatsoever, you unconditionally and irrevocably accept these Terms & Conditions in their entirety.

Use of the Platform in any capacity — including but not limited to browsing, registering, entering prompts, receiving outputs, or interacting with any feature — constitutes a binding legal agreement between you and SIMI.

If you do not agree to these Terms, or if you disagree with any provision contained herein, you must immediately stop using SIMI, uninstall the application, and discontinue all interaction with the Platform.

SIMI reserves the right to update, modify, revise, amend, or replace these Terms at any time, at its sole discretion, with or without prior notice.

The most current version of these Terms will always be available at https://simimulti.com/. It is the User's sole responsibility to review the Terms periodically for changes.

Continued use of SIMI after any modification to these Terms constitutes automatic, unconditional acceptance of the revised Terms. If you do not agree to the updated Terms, your sole remedy is to stop using the Platform.

SIMI may notify Users of material changes to these Terms through email, in-app notifications, or announcements on the SIMI website. However, failure to receive or read such notifications does not exempt Users from the updated Terms.

To access and use SIMI, you must be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher.

If you are under the required minimum age, you may only use SIMI with verifiable consent from a parent or legal guardian. The parent or guardian assumes full responsibility for the minor's use of the Platform and agrees to be bound by these Terms on the minor's behalf.

By using SIMI, you represent and warrant that you have the legal capacity to enter into a binding agreement in your jurisdiction.

Users are solely and entirely responsible for ensuring that their use of SIMI complies with all applicable local, state, national, and international laws, regulations, statutes, and ordinances.

SIMI assumes no responsibility whatsoever for Users who access or use the Platform in violation of any law, regulation, sanction, or restriction applicable in their jurisdiction.

Users agree not to access or use SIMI in violation of any applicable export control laws, trade sanctions, or international embargoes, including but not limited to those imposed by the United Nations, European Union, United States, or any other governing body.

Users located in, or ordinarily resident in, jurisdictions subject to comprehensive international sanctions are prohibited from accessing or using the Platform. SIMI assumes no responsibility for verifying User location and bears no liability if such Users access the Platform.

If SIMI discovers or reasonably suspects that a User is accessing the Platform in violation of any applicable law, sanction, or restriction, SIMI reserves the right to immediately terminate that User's access without notice, refund, or compensation.

SIMI is an AI-powered multi-agent system designed to assist Users with productivity, research, information gathering, problem-solving, content generation, and related tasks.

The Platform utilizes multiple AI agents that operate autonomously based on User prompts and system instructions. These agents may generate outputs without direct human review, oversight, or intervention.

Multiple agents within the SIMI system may collaborate, delegate tasks, interact with one another, or act independently within the Platform. The behavior of these agents may be unpredictable, non-linear, or emergent in nature.

SIMI is a tool. It is not a professional service provider. It is not a substitute for human judgment, expertise, or professional consultation in any field.

Outputs generated by SIMI are produced algorithmically through artificial intelligence processes. These outputs are not guaranteed to be accurate, correct, complete, current, reliable, truthful, appropriate, safe, or fit for any particular purpose.

SIMI makes no warranties, representations, or guarantees, whether express, implied, statutory, or otherwise, regarding:

• The accuracy or correctness of any output
• The completeness or comprehensiveness of any information provided
• The timeliness or currency of any data or content
• The fitness of any output for any specific purpose
• The safety, legality, or appropriateness of any generated content
• The reliability or consistency of outputs across sessions
• The availability or uptime of the Platform

Users acknowledge that AI technology is inherently imperfect and that errors, inaccuracies, biases, hallucinations, fabrications, and misleading outputs are normal, expected, and unavoidable characteristics of AI systems.

SIMI does not provide professional advice of any kind. This includes but is not limited to:

• Legal advice
• Medical or health advice
• Financial, investment, or tax advice
• Psychological or mental health advice
• Engineering or safety advice
• Educational or academic guidance presented as authoritative fact
• Business or strategic consulting
• Regulatory or compliance guidance
• Any other form of advice that would ordinarily require a licensed, certified, or qualified professional

Any output generated by SIMI that resembles, appears to constitute, or could be interpreted as professional guidance is generated algorithmically by artificial intelligence. It is not reviewed, validated, or endorsed by any qualified professional, licensed practitioner, or subject matter expert.

Such outputs must never be treated as a substitute for consultation with a qualified, licensed, or certified professional in the relevant field.

Users who act on AI-generated information without obtaining independent professional verification and advice do so entirely at their own risk. SIMI accepts no responsibility, liability, or obligation for any outcomes, consequences, damages, or losses resulting from such reliance.

SIMI strongly and explicitly recommends that Users always consult a qualified professional before making any decision based on or influenced by AI-generated outputs, particularly in matters involving health, safety, finances, legal rights, or any area where errors could result in significant harm.

Users bear full, sole, and exclusive responsibility for how they interact with SIMI, what they input into the Platform, and how they use, interpret, distribute, or act upon any output generated.

Users agree to:

• Verify all AI-generated information independently through reliable sources before acting on it, relying on it, or sharing it with others
• Use SIMI only for lawful, ethical, and constructive purposes
• Accept complete and unconditional responsibility for all consequences arising from their prompts, actions, decisions, and use of outputs
• Comply with all applicable laws and regulations while using the Platform
• Respect the rights of other Users, third parties, and SIMI itself
• Maintain the security of their account credentials
• Report any bugs, vulnerabilities, or security issues to SIMI rather than exploiting them

Users must NOT use SIMI for any of the following purposes. This list is non-exhaustive, and SIMI reserves the right to determine, at its sole discretion, what constitutes a violation:

• Any illegal activity under any local, national, or international jurisdiction
• Harassment, abuse, bullying, threats, intimidation, or discrimination of any kind against any individual or group
• Fraud, scams, phishing, or any form of deceptive or dishonest practice
• Hacking, cracking, unauthorized access to systems, or development of malicious software including malware, viruses, ransomware, trojans, or exploits
• Cyberattacks of any nature, including denial-of-service attacks, network intrusion, or data theft
• Generating harmful, abusive, defamatory, libelous, obscene, pornographic, violent, threatening, or dangerous content
• Spreading misinformation, disinformation, or propaganda, or manipulating public discourse or opinion
• Creating deepfakes, impersonations, or fraudulent representations of real individuals or entities
• Attempting to exploit, overload, reverse engineer, probe, or compromise SIMI's infrastructure, algorithms, systems, or security measures
• Using SIMI outputs to train competing AI models or develop competing services without explicit written permission
• Using SIMI in any manner that could cause harm to individuals, groups, organizations, or systems
• Any other use that SIMI determines, at its sole discretion, to be harmful, unethical, dangerous, or in violation of the spirit of these Terms

Users retain ownership of the content, text, data, and information they input into SIMI ("User Inputs").

By submitting User Inputs, Users represent and warrant that:

• Their inputs do not infringe on any third-party intellectual property rights, including copyrights, trademarks, patents, or trade secrets
• Their inputs do not violate any applicable law, regulation, or legal obligation
• Their inputs do not contain content that is defamatory, libelous, obscene, threatening, harassing, discriminatory, or otherwise unlawful
• They have all necessary rights, licenses, and permissions to submit such content to the Platform

Users are solely and exclusively liable for the content of their prompts, inputs, and instructions. SIMI assumes no responsibility for reviewing, filtering, moderating, screening, or validating User Inputs beyond its automated safety systems.

SIMI reserves the right to remove, block, or refuse to process any User Input that it determines, at its sole discretion, to be inappropriate, harmful, illegal, or in violation of these Terms.

By submitting User Inputs, Users grant SIMI a non-exclusive, worldwide, royalty-free, irrevocable license to process, analyze, and use such inputs for the purpose of generating outputs, improving the Platform, training and enhancing AI models, and conducting research and development — subject to the privacy provisions outlined in these Terms.

SIMI is provided strictly on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

SIMI expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability
• Implied warranties of fitness for a particular purpose
• Implied warranties of non-infringement
• Warranties of accuracy, reliability, or completeness
• Warranties of uninterrupted or error-free service

Users acknowledge and accept that:

• AI outputs may be incorrect, inaccurate, incomplete, outdated, biased, fabricated, or misleading
• AI agents may produce unexpected, unintended, contradictory, or undesirable results
• Multi-agent interactions may lead to compounded errors, cascading inaccuracies, or unforeseen and unpredictable outputs
• SIMI does not validate, verify, endorse, or guarantee any output generated by its agents
• Users must never rely on SIMI as a sole or primary source of information for any decision, especially decisions involving health, safety, finances, legal rights, or other consequential matters
• AI models may change, degrade, or behave differently over time without notice
• Outputs for identical prompts may vary between sessions

Any and all risks, consequences, losses, costs, burdens, damages, or liabilities — whether direct, indirect, incidental, special, consequential, punitive, exemplary, or otherwise — arising from the use, misuse, overreliance on, misinterpretation of, or inability to use SIMI's outputs rest entirely, exclusively, and permanently with the User.

SIMI, its developers, creators, operators, owners, affiliates, partners, employees, contractors, licensors, and agents assume absolutely no liability whatsoever, under any legal theory, for any outcome resulting from the use of the Platform.

Under no circumstances shall SIMI, its creators, owners, operators, developers, affiliates, employees, contractors, partners, agents, licensors, or any associated parties be held liable for any damages, losses, costs, or expenses of any kind whatsoever.

This limitation applies to, but is not limited to, the following categories of damages:

• Direct financial losses or monetary damages
• Indirect or consequential losses of any nature
• Incidental damages arising from use of the Platform
• Special or extraordinary damages
• Punitive or exemplary damages
• Business losses, including lost revenue, lost profits, lost contracts, lost customers, or lost business opportunities
• Data loss, data corruption, data breach, or unauthorized data exposure
• Personal harm, physical injury, or bodily damage
• Reputational damage or harm to personal or professional standing
• Emotional distress, psychological harm, anxiety, or mental health impact
• Damages arising from reliance on AI-generated content for any purpose
• Damages arising from third-party actions, claims, or decisions based on SIMI outputs
• Damages arising from service interruptions, downtime, bugs, glitches, or errors
• Damages arising from security breaches, cyberattacks, or unauthorized access to the Platform
• Damages arising from changes to, updates to, or discontinuation of any feature or the entire service
• Legal fees, court costs, or regulatory fines incurred as a result of using SIMI
• Any unforeseen, unforeseeable, or unintended consequence of any kind

In jurisdictions that do not allow the complete exclusion of liability, SIMI's total cumulative liability for all claims arising from or related to these Terms or the use of the Platform shall not exceed the lesser of: (a) the total amount paid by the User to SIMI in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) $50 USD (or its equivalent in local currency).

Users agree to indemnify, defend, and hold harmless SIMI and all of its creators, owners, operators, developers, affiliates, employees, contractors, partners, agents, licensors, successors, and assigns from and against any and all claims, demands, actions, lawsuits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and court costs) arising from or related to:

• The User's use or misuse of the Platform
• The User's violation of these Terms
• The User's violation of any applicable law or regulation
• The User's infringement of any third-party rights, including intellectual property rights
• The User's prompts, inputs, or content submitted to the Platform
• Any third-party claim resulting from the User's use, distribution, or publication of SIMI outputs
• The User's negligence, willful misconduct, or fraudulent activity

This indemnification obligation survives the termination, suspension, or expiration of this Agreement and the User's account.

The SIMI platform — including but not limited to all software, source code, object code, algorithms, AI models, machine learning systems, architectures, interfaces, designs, graphics, logos, trademarks, trade names, branding, documentation, and all underlying technology — is the exclusive intellectual property of SIMI and its creators and is protected by applicable intellectual property laws.

Users may not, without explicit prior written permission from SIMI:

• Copy, reproduce, duplicate, or clone any part of the Platform
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or algorithms of the Platform
• Modify, adapt, translate, or create derivative works based on the Platform
• Redistribute, sublicense, sell, lease, rent, or otherwise transfer access to the Platform
• Use SIMI's name, logo, branding, or trademarks for any purpose without authorization
• Scrape, crawl, or extract data from the Platform through automated means

Outputs generated by Users through SIMI may be used by the User for their own purposes, subject to the following conditions:

• SIMI retains the right to use anonymized and aggregated interaction data for system improvement, research, development, and training purposes
• SIMI makes no guarantee that outputs are original, unique, or free from third-party intellectual property claims
• Users are solely responsible for ensuring that their use of outputs does not infringe upon any third-party copyrights, trademarks, patents, trade secrets, or other intellectual property rights
• SIMI reserves the right to define, modify, and adjust output ownership terms at any time

SIMI does not warrant that outputs generated by the Platform will not infringe on third-party intellectual property rights. AI systems may generate content that is similar to, derived from, or substantially resembles existing copyrighted, trademarked, or protected material. Users assume full and sole responsibility for verifying that their use of any SIMI output does not violate third-party rights. SIMI assumes no liability for any intellectual property infringement claims arising from the User's use of generated outputs.

Users who create an account on SIMI are solely and exclusively responsible for maintaining the confidentiality and security of their account credentials, including but not limited to usernames, passwords, API keys, authentication tokens, and any other access mechanism.

Users must not share their account credentials with any other individual, entity, or automated system. Each account is for the exclusive use of the registered account holder.

Any and all activity conducted through a User's account — whether authorized or unauthorized — is the sole responsibility of the account holder. SIMI is not obligated to verify the identity of any person accessing an account.

Users must immediately notify SIMI of any known or suspected unauthorized access to their account, any security breach, or any compromise of their credentials by contacting simimultiagent@gmail.com.

SIMI assumes no liability for any damages, losses, costs, or consequences resulting from:

• Compromised, stolen, or leaked account credentials
• Unauthorized access to a User's account
• Actions taken by third parties using a User's account
• The User's failure to maintain adequate account security
• The User's failure to promptly report unauthorized access

SIMI reserves the right to suspend or terminate any account that it reasonably believes has been compromised, is being used fraudulently, or poses a security risk to the Platform.

SIMI may offer free and paid tiers, subscriptions, plans, or one-time purchases ("Paid Services"). By purchasing any Paid Service, the User agrees to the payment terms described in this section.

• Users agree to provide accurate, current, and complete billing and payment information
• Payments are processed through third-party payment processors. SIMI does not directly store credit card or banking details. Users are subject to the payment processor's terms and policies
• Subscription fees are billed on a recurring basis according to the billing cycle selected at the time of purchase (e.g., monthly, annually)
• Users are responsible for all applicable taxes, duties, or levies associated with their purchase

• Subscriptions automatically renew at the end of each billing cycle unless the User cancels before the renewal date
• SIMI will attempt to charge the User's payment method on file at the time of renewal
• It is the User's sole responsibility to cancel before the renewal date if they do not wish to continue

ALL PURCHASES ON SIMI ARE FINAL.

• Once a subscription plan, service tier, or any Paid Service is purchased, the transaction is final and non-refundable
• SIMI does not offer refunds for any reason, including but not limited to: change of mind, dissatisfaction with the service, failure to use the service during the paid period, technical issues on the User's end, early cancellation of a subscription, feature changes or service updates, downtime or service interruptions, account suspension or termination due to violation of these Terms
• Users are strongly advised to carefully evaluate the Platform before making any purchase
• By completing a purchase, Users acknowledge and accept this no-refund policy

• In the event that a User is charged twice for the same billing period due to a payment processing error, system glitch, or any other reason, the duplicate payment will be applied as credit toward an additional month or subscription period
• Double payments will not be refunded in cash, credit card reversal, or any other monetary form
• The additional month or subscription period will be automatically appended to the User's current billing cycle
• Users should exercise caution when making payments and verify their payment method, billing cycle, and transaction details before confirming any purchase
• It is the User's responsibility to monitor their billing statements and report any discrepancies to SIMI within thirty (30) days of the charge

• If a payment fails, SIMI may retry the charge, suspend access to Paid Services, or downgrade the User's account to a free tier
• SIMI is not liable for any loss of access, data, or functionality resulting from failed payments
• Continued failure to pay may result in account termination

• SIMI reserves the right to change pricing, plans, features included in each tier, and billing terms at any time, at its sole discretion
• Changes to pricing will apply to the next billing cycle following the change
• Continued use of Paid Services after a pricing change constitutes acceptance of the new pricing
• If a User does not agree with the new pricing, their sole remedy is to cancel their subscription before the next renewal date

• SIMI may offer free tiers, trial periods, or promotional access at its sole discretion
• Free tiers and trials may be modified, limited, or discontinued at any time without notice
• Trial periods may automatically convert to paid subscriptions at the end of the trial unless cancelled by the User before the conversion date
• SIMI is under no obligation to offer or maintain any free tier or trial

User prompts, inputs, interactions, usage patterns, and related data may be collected, processed, stored, analyzed, and used by SIMI for the purposes of:

• Generating outputs and responses
• Improving, optimizing, and enhancing the Platform
• Training and developing AI models and algorithms
• Conducting research and analysis
• Ensuring platform security and preventing abuse
• Complying with legal obligations

SIMI implements commercially reasonable security measures to protect User data and platform infrastructure. However, SIMI does not guarantee and cannot warrant absolute, complete, or infallible data security. No system connected to the internet is entirely immune to security threats.

Users acknowledge and accept the inherent risks of transmitting data over the internet and through digital platforms, including the risk of unauthorized access, interception, or breach.

Users should exercise caution and should not input highly sensitive personal information, confidential business data, classified or restricted information, financial account details, medical records, government secrets, or any other information whose disclosure could cause significant harm — unless they fully accept the associated risks.

A separate Privacy Policy may govern detailed data collection, storage, processing, retention, sharing, and deletion practices. Where a separate Privacy Policy exists, it is incorporated into these Terms by reference.

By using SIMI, Users consent to the data practices described in these Terms and any associated Privacy Policy documentation.

SIMI may use cookies, analytics tools, tracking technologies, and similar mechanisms to collect usage data. Users consent to the use of such technologies by using the Platform.

SIMI may integrate with, connect to, rely upon, or provide links to third-party services, APIs, tools, platforms, websites, or content providers ("Third-Party Services").

SIMI does not own, control, operate, endorse, or guarantee the availability, accuracy, reliability, security, privacy practices, or quality of any Third-Party Service.

Users interact with Third-Party Services entirely at their own risk. Third-party terms of service, privacy policies, and usage agreements apply separately and independently.

SIMI assumes no liability whatsoever for any damages, losses, costs, data breaches, service failures, inaccuracies, or issues arising from or related to any Third-Party Service, regardless of whether the integration was initiated by SIMI, by the User, or by the third party.

If a Third-Party Service becomes unavailable, changes its terms, or ceases to function, SIMI is not obligated to provide a replacement, workaround, or compensation.

SIMI does not guarantee uninterrupted, continuous, timely, or error-free access to the Platform. The Service is provided on an "AS AVAILABLE" basis.

The Platform may experience downtime, outages, slowdowns, or reduced functionality due to, including but not limited to:

• Scheduled or unscheduled maintenance
• Software updates, patches, or upgrades
• Technical failures, bugs, or system errors
• Server or infrastructure failures
• Cyberattacks, including DDoS attacks, hacking attempts, or malware
• Internet or telecommunications disruptions
• Power outages
• Third-party service provider failures
• Circumstances beyond SIMI's reasonable control

SIMI is not liable for any loss, damage, cost, inconvenience, missed opportunity, or consequence of any kind caused by service unavailability, regardless of the cause or duration.

SIMI is under no obligation to provide advance notice of downtime, maintenance windows, or service disruptions, although it may choose to do so at its discretion.

SIMI reserves the absolute and unconditional right to, at any time, at its sole discretion, with or without notice, and with or without cause:

• Suspend any User's access to part or all of the Platform, temporarily or indefinitely
• Terminate any User's account and access permanently
• Modify, update, limit, redesign, or remove any feature, function, or component of the Platform
• Discontinue the entire Platform or any part thereof
• Change pricing, subscription tiers, access levels, usage limits, or functionality
• Introduce new terms, conditions, or requirements for continued use

Grounds for termination or suspension include but are not limited to:

• Violation of any provision of these Terms
• Misuse, abuse, or fraudulent use of the Platform
• Abuse of system infrastructure, resources, or bandwidth
• Any behavior deemed by SIMI to be harmful, unethical, threatening, illegal, or disruptive
• Failure to pay for Paid Services
• Extended period of account inactivity
• Any reason SIMI deems appropriate at its sole discretion

Users have no right to claim damages, refunds, compensation, or any remedy resulting from termination, suspension, or service changes.

Upon termination, the User's right to access and use the Platform ceases immediately. SIMI is under no obligation to retain, export, provide, or return any User data, inputs, outputs, account information, or content after termination.

SIMI may also, at its sole discretion, report Users engaged in illegal activity to the appropriate law enforcement authorities.

SIMI shall not be held liable for any failure, delay, or interruption in the performance of its obligations under these Terms resulting from circumstances beyond its reasonable control ("Force Majeure Events").

Force Majeure Events include but are not limited to:

• Natural disasters (earthquakes, floods, hurricanes, tsunamis, volcanic eruptions, wildfires)
• Wars, armed conflicts, military actions, or invasions
• Terrorism, civil unrest, riots, or insurrection
• Pandemics, epidemics, or public health emergencies
• Government actions, regulations, orders, sanctions, or embargoes
• Legislative or regulatory changes
• Cyberattacks, hacking, distributed denial-of-service attacks, or cyber warfare
• Power failures or electrical grid disruptions
• Internet, telecommunications, or infrastructure outages
• Server, hosting, or cloud service provider failures
• Supply chain disruptions
• Labor strikes, work stoppages, or shortages
• Acts of God or any other event beyond SIMI's reasonable control

During a Force Majeure Event, SIMI's obligations under these Terms are suspended for the duration of the event and a reasonable recovery period thereafter.

SIMI is not required to provide notice, compensation, refunds, or alternative services during a Force Majeure Event.

Any feedback, suggestions, ideas, feature requests, recommendations, bug reports, improvements, concepts, or other submissions ("Feedback") provided by Users to SIMI — whether solicited or unsolicited, and regardless of the method of submission — become the exclusive and perpetual property of SIMI upon submission.

Users irrevocably waive any and all rights to:

• Compensation, payment, or royalties for submitted Feedback
• Credit, attribution, or acknowledgment
• Intellectual property claims of any kind related to submitted Feedback
• Any claim of ownership over features, updates, or improvements that may be similar to or inspired by their Feedback

SIMI may, at its sole and absolute discretion, use, implement, modify, adapt, incorporate, publish, distribute, or discard any Feedback without any obligation, notification, or compensation to the User.

Submission of Feedback is entirely voluntary. Users are under no obligation to provide Feedback, and doing so constitutes acceptance of the terms in this section.

SIMI may communicate with Users through any of the following methods:

• Email to the address associated with the User's account
• In-app notifications or messages
• Push notifications (if enabled by the User)
• Announcements posted on the SIMI website or platform
• Any other reasonable method of communication

It is the User's sole responsibility to maintain a valid, current, and actively monitored email address and contact information in their account settings.

SIMI is not liable for any consequences arising from:

• Missed, unread, or undelivered communications
• Outdated or incorrect contact information provided by the User
• Email filtering, spam blocking, or delivery failures beyond SIMI's control
• The User's failure to check notifications or announcements

Any notice sent by SIMI to the User's registered email address or displayed through in-app notification shall be deemed delivered and received at the time of sending or posting, regardless of whether the User actually reads it.

These Terms & Conditions shall be governed by, construed under, and interpreted in accordance with the laws of [YOUR JURISDICTION / COUNTRY / STATE], without regard to its conflict of law principles.

Users irrevocably consent and submit to the exclusive personal jurisdiction of the chosen legal venue and waive any objection to the jurisdiction or venue of such proceedings, including objections based on inconvenient forum.

To the maximum extent permitted by applicable law, Users waive any right to participate in class-action lawsuits, class-action arbitrations, or any consolidated or representative proceedings against SIMI. All disputes must be brought in the User's individual capacity only.

Before initiating any formal dispute resolution, Users agree to first attempt to resolve the dispute informally by contacting SIMI at [CONTACT EMAIL] and allowing a period of thirty (30) days for good-faith resolution efforts.

The User shall bear their own legal fees, costs, and expenses in any dispute, unless otherwise required by applicable law.

If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable by any court, tribunal, or authority of competent jurisdiction, such finding shall not affect, impair, or invalidate the remaining provisions of these Terms. All other provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent. If modification is not possible, the provision shall be severed from these Terms, and the remaining Terms shall be enforced as if the severed provision had never been included.

The failure or delay by SIMI to exercise or enforce any right, remedy, or provision under these Terms shall not constitute a waiver of that right, remedy, or provision. Any waiver of any provision must be made in writing and signed by an authorized representative of SIMI. A waiver of any provision on one occasion shall not be construed as a waiver of that provision or any other provision on any other occasion.

These Terms & Conditions, together with the Privacy Policy and any other documents, policies, or agreements expressly referenced herein, constitute the entire agreement between the User and SIMI regarding the subject matter hereof. They supersede all prior or contemporaneous communications, agreements, understandings, representations, negotiations, and proposals, whether oral or written. No external promise, statement, advertisement, representation, or communication shall modify or supplement these Terms unless made in writing and signed by an authorized representative of SIMI.

SIMI may assign, transfer, delegate, or sublicense its rights, obligations, or any part of this Agreement to any third party — including in connection with a merger, acquisition, corporate restructuring, sale of assets, or change of control — without the User's prior consent and without notice. Users may not assign, transfer, or delegate their rights or obligations under these Terms to any third party without the express prior written consent of SIMI. Any attempted assignment by a User without such consent shall be null and void.

The following sections, and any other provisions that by their nature are intended to survive, shall survive and remain in full force and effect after the termination, suspension, expiration, or cancellation of this Agreement or the User's account:

Section headings, titles, and labels used in these Terms are for convenience and reference only and shall not affect the interpretation, meaning, or construction of any provision.

Nothing in these Terms creates or implies any partnership, joint venture, employment, franchise, or agency relationship between SIMI and the User. Neither party has the authority to bind, obligate, or represent the other in any capacity.
